Cincinnati Council's Articles of Incorporation The undersigned, desiring to form a corporation, not for profit, under Sections 1702.01 et seq. Of the Ohio Revised Code, do hereby state the following:

FIRST. The name of said corporation shall be The Navy League of The United States, Greater Cincinnati Council

SECOND. The place in Ohio where its principal office is to located is Cincinnati, Hamilton County, Ohio

THIRD. The purpose(s) for which this corporation is formed is:

SECTION 1 This Council is organized and shall be operated exclusively for educational purposes including, for such purposes, the making of distributions to organizations qualifying as exempt organizations under Section 501 (c) (3) of the Internal Revenue Code or the corresponding section of any future United States Internal Revenue law. In carrying out the foregoing purposes, the Council shall have the power to acquire and disseminate to citizens of the United States information concerning the condition of the naval forces and equipment of the United States and to increase interest and cooperation in all matters tending to improve maritime efficiency. The Council shall make no declaration of policy in contravention of the Policy of Navy League National Headquarters. In all matters of policy, the Council shall carry out the aims and purposes of the Navy League as established by the National Board of Directors.

SECTION 2 No part of the net earning of the Council shall inure to the benefit of, or be distributable to its members, Directors, Officers, or other private persons, except that the Council shall be authorized and empowered to pay reasonable compensation for services actually rendered and to make payments and distributions in furtherance of its purposes as stated in these Articles. No substantial part of the Council's activities shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the Council shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.

SECTION 3 Notwithstanding any other provision of these Articles, the Council shall not carry on any other activities no permitted to be carried on (a) by an organization exempt from federal income taxation under Section 501 (c) (3) of the Internal Revenue Code, as amended, or the corresponding provision of any future United States Internal Revenue law, or (b) by an organization, contributions to which are deductible under Section 170 (c) (2) of the Internal Revenue Code, as amended, or the corresponding provision of any future United States Internal Revenue law.

FOURTH. The following persons, not less than three, shall serve said corporation as trustees until the first annual meeting or other meeting called to elect trustees.
